Accounting at Brex
Equity Administration resides under the Accounting team at Brex. The first responsibility of the Accounting team at Brex is to ensure we have strong and reliable financial reporting and records. At the same time, we’re also deeply passionate about automation and partner closely with the engineering and product teams to implement technological improvements to both increase quality and efficiency.

The first responsibility of Equity Administration at Brex is to ensure that the Company’s stakeholders, both investors and employees are served timely and accurately for any equity or stock compensation related activities as they develop. This also includes the proper recordkeeping for such activities and working closely with cross functional partners to ensure transactions and processes have been structured appropriately and in the best interests of all of those involved in accordance with Brex policy.

What you’ll do
The Equity Administration Manager will be responsible for Brex’s cap table and equity activities, including equity awards, transactions, and their accounting. This person will ensure the integrity of our cap table records and develop scalable and sustainable processes to support the growth of our cap table and equity incentive program as Brex evolves and matures. As a Manager, you are responsible for being the primary internal subject matter expert on all things related to equity administration and operations, including advisory on complex decisions related to the structure and operations of our program as well as executing on decisions once alignment has been reached cross-functionally. 

Responsibilities

  • Manage the end-to-end administration of Brex’s cap table, including activities related to fundraising and equity awards
  • Partner with Finance, Legal, and People to ensure equity administration processes support the Company and stakeholders broadly including for areas such as compliance, tax reporting and regulatory requirements
  • Lead efforts to grow and scale the stock administration function, including but not limited to enhancing existing manual processes, automating processes and evaluating service providers
  • Process all new equity awards, option exercises, terminations, cancellations, repurchases, and modifications
  • Ensure that all forms of equity compensation are administered following the terms and conditions of the plan under which they are granted
  • Prepare and reconcile monthly, quarterly and custom reports on equity activity, including share availability for awards and projections for option pool needs
  • Produce ad hoc analyses on equity data with quick turnarounds based on business requests.
  • Prepare stock compensation expense calculations and advise in documentation of equity-related processes for external audits
  • Assist in preparation of financial statement disclosures for Brex’s equity plan and stock-based compensation expense for reporting and audit purposes
  • Provide a superior level of service and prioritizing and satisfying multiple questions and requests from employees, management, and others supporting employee understanding of stock plan services, enrollment, and transactions
  • Provide periodic educational sessions, presentations, and communications, in order to promote an understanding of the Company’s equity program and policies

Requirements

  • 5+ years of equity administration experience
  • Experience developing and implementing controls and processes around equity administration from the ground up
  • Experience working directly with major third-party equity software systems (Carta, Equity Edge, Shareworks, Charles Swhwab)
  • Expertise with managing a complex cap table that may require management outside-the-box, i.e. outside of our cap table management software
  • Broad experience with a range of equity compensation instruments and plans
